(“FLUID”) a company incorporated under Companies Act of 1956, with its registered office at D6/3, Bhagwati Industrial Estate, Near Navjivan Honda, Bhestan, Surat-395023, Gujarat, India.

The Website is a platform that facilitates the purchase of FLUID products and services offered by various authorized dealers of FLUID at discounted prices (“Services”). FLUID also facilitates the placing of orders and making payments by its authorized Dealers/OEMs (“Additional Services”). By mere use of the Website, you the User shall be contracting with FLUID and these terms and conditions including the policies constitute your binding obligations, with FLUID.

The use of the Website and Services provided under the Website by the User signifies the User’s acceptance of the Terms of Use. By using this Website or any facility or Service provided by this Website in any way; or merely browsing the Website, The User agrees that it has read, understood and agreed to be bound by these Terms of Use. Please read the Terms of Use carefully before using or registering on the Website or accessing any material, information or services through the Website.

The Terms of use are as follows:

1. Eligibility to use

The Services can be availed by any person domiciled in India or legal entity/ organization which is operating in India. However such Services are not available to such persons who are declared to be unsound mind or are under the age of eighteen (18) years and have not attained maturity under the law for the time being in force.

Additional services can be availed only by authorized Dealers/OEMs who are registered as Dealer/OEMs with FLUID.

2. Delivery of products

The product shall be delivered as ordered only at such locations as stated by the User when the purchase order form is filed. No delivery of any Products or Services shall be rendered outside India. FLUID shall make a maximum of three (3) attempts to deliver the User order. In case the User is not reachable or does not accept delivery of products in these attempts FLUID reserves the right to cancel the order(s) at its discretion. FLUID shall not be liable for delay caused in delivery and shall endeavor to deliver the products at the estimated delivery time.

Material to be delivered to authorised dealers/OEMs shall be billed only if such authorised dealers/OEMs fulfil the necessary criteria like no overdue payment, no pending-C Forms and no legal proceedings initiated for recovery. FLUID reserves the right to deny/cancel any order placed by an authorised dealer/OEM if such dealer/OEM fails to comply with the dealership/OEMs agreement.

3. User account

• The User agrees to provide correct and authenticated data/ information while registering as a User or providing data/information as a Guest User. If the User provides any information that is untrue, inaccurate, not current or incomplete or becomes untrue, inaccurate, not current or incomplete, or FLUID has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, FLUID has the right to refuse any and all current or future use of the Website or any portion thereof.
• The User will be responsible for maintaining the confidentiality of the Account Information and is fully responsible for all activities that occur under your User Account.
• The User shall immediately notify FLUID of any unauthorized use of User Account Information or any other breach of security.
• FLUID cannot and will not be liable for any loss or damage arising from the User’s failure to comply with the aforementioned stipulations.
• The aforementioned requirement shall not apply to authorised dealers/OEMs who already hold an account with FLUID.

4. Credit/debit card or net banking details

The User agrees to provide correct and accurate credit/debit card details to the approved payment gateway for availing Services on the Website. The information provided by the User will not be utilized or shared with any third party unless required in relation to fraud verifications or by law, regulation or court order. The User will be solely responsible for the security and confidentiality of your credit/debit card details. FLUID expressly disclaims all liabilities that may arise as a consequence of any unauthorized use of the User’s credit/ debit card.

5. Pricing

The prices for products are described on the website and are incorporated into these terms by reference. All prices are in Indian Rupee (INR). The price of products and Services may change at FLUID’s sole discretion. No intimation shall be provided.

6. Order processing

Order will be processed solely at FLUID’s discretion.

7. Electronic communication

The User agrees and understands that it is communicating with FLUID through electronic records and the User hereby consents to receive communications via electronic records from FLUID as and when required.

8. Permitted use

The User agrees to use the Services, Website and the materials provided therein only for purposes that are permitted by the Terms of Use or under any applicable law, for the time being in force.

9. Modification or discontinuation of the website

Only those goods purchased by the authorised Dealer/OEMs can be sold for commercial purposes or profit to the end customer.

11. Indemnification

The User agrees to indemnify, defend and hold FLUID harmless against any and all losses, liabilities, claims, and damages, arising out of any breach or non-performance of any representation, warranty, covenant or agreement made or obligation to be performed by the User under the Terms of Use.

12. Violation of the Terms of Use

1. The User agrees that FLUID may, in its sole discretion and without prior notice, terminate your access to the Website and block your future access to the Website if FLUID determines that the User has violated these Terms of Use. These remedies are in addition to any other remedies FLUID may have under the law for the time being in force.

2. The User agrees that FLUID may, in its sole discretion, and without prior notice, terminate your access to the Website, for cause, which includes (but is not limited to): (1) requests by law enforcement or other government agencies; (2) a request by you (self-initiated account deletions); (3) discontinuance or material modification of the Website or any service offered on or through the Website; or (4) unexpected technical issues or problems.

3. The Terms of Use will continue to apply until terminated by the User by (i) not accessing the Website; or (ii) closing your accounts for all of the Services that you use.

4. FLUID may, at any time, with or without notice, terminate the Terms of Use with the User if

• FLUID is required to do so by law.
• The User agrees that all terminations shall be made in FLUID’s sole discretion and that FLUID shall not be liable to the User for any termination of the User Account or User access to the Website and Services.

13. Assignment

The User cannot at any point in time transfer or assign to any third-party its right to the Terms of Use.

14. Severability

If, for any reason, a court of competent jurisdiction finds any provision of the Term of Use, or portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to give effect to the intent of the parties as reflected by that provision, and the remainder of the Terms of Use shall continue in full force and effect.

17. Governing Law

The Terms of Use and all transactions entered into on or through the Website and the relationship between the User and FLUID shall be governed in accordance with the laws of India. The User and FLUID shall be subject to the exclusive jurisdiction of the courts at New Delhi, India and the User hereby accede to and accept the jurisdiction of such courts.
